# MGT-7: the annual return

> MGT-7 is the annual return: a yearly snapshot of the company’s registered office, shareholding, members, directors and key managerial personnel, filed with the ROC under section 92 of the Companies Act 2013 within 60 days of the annual general meeting. OPCs and small companies file the abridged MGT-7A instead.

## Who files MGT-7?

Every company files an annual return each year. Companies generally file MGT-7; one person companies and small companies file the abridged MGT-7A. The return runs to the financial year end and is filed after the AGM, whether or not the meeting was held on time.

## What does a late MGT-7 cost?

A government additional fee of Rs 100 a day from the due date, with no multiplier and no upper limit. The normal fee runs on the authorised capital.

## MGT-7 or MGT-7A?

MGT-7A is the abridged annual return for one person companies and small companies; everyone else files MGT-7. Larger companies also need the return certified by a practising company secretary in MGT-8 — the thresholds for that certification should be checked against section 92 and its rules.

## How is MGT-7 filed on MCA V3?

Close the registers to the financial year end, reconcile shareholding and directorships, fill MGT-7 (or MGT-7A) on MCA V3, attach the shareholder list and other called-for documents, have it certified where required, and sign with the DSC. The full procedure is in the guide:

**What is the due date for MGT-7?**

Within 60 days of the annual general meeting — 29 November for a 30 September AGM. If the AGM is not held, the 60 days run from the last day it should have been held.

**What is the difference between MGT-7 and MGT-7A?**

MGT-7A is the abridged annual return for OPCs and small companies; MGT-7 is the full return for everyone else. The filing window is the same.

**What is the late fee for MGT-7?**

₹100 a day from the due date, with no upper limit, running until the return is filed.

**Who certifies the annual return?**

The return is signed by a director and the company secretary, or where there is none, a practising company secretary; larger companies additionally need MGT-8 certification by a practising CS.

**What period does MGT-7 cover?**

The financial year — the return is drawn up to 31 March even though it is filed after the AGM later in the year.
