MCA charges additional fees that rise with the delay, up to 12 times the normal filing fee. OnCompliance tracks the date and warns you before it costs anything.
Obtain executed Share Transfer Deed in Form SH-4 along with share certificates from transferor.
Verify transfer deed, share certificates, and compliance with AOA restrictions (if any).
Ensure stamp duty is paid on the share transfer deed as per applicable state rates.
Place transfer request before the Board for approval. Board must approve or refuse within 30 days.
Record the transfer in the Register of Members with details of transferor and transferee.
Issue new share certificates to the transferee within 1 month of registration.
Every guide runs like this in OnCompliance: steps in order, dates in view, paperwork made for you at each step.
