Terms of service

The agreement behind the Service.

1. Agreement

These Terms of Service ("Terms") are an agreement between 50K SaaS Ventures Pvt Ltd ("50K SaaS Ventures", "we", "us"), a private limited company incorporated in India (CIN U72900TG2019PTC131247) with registered office at Cabin 5A, 5th Floor, Plot No. 7, Sy. No. 66 & 67, Jubilee Enclave, Madhapur, Manuu, Hyderabad, Seri Lingampally, Telangana, India, 500032, and the organisation or person accessing onCompliance (the "Service"). By creating a workspace, accepting an invitation into one, or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it, and "Customer" means that organisation.

Our Privacy Policy explains how we handle personal data — including that content submitted to AI features is shared with third-party AI model providers — and forms part of these Terms.

2. The Service — and its limits

onCompliance is a workspace for managing statutory compliance of Indian companies under the Companies Act 2013: corporate records, compliance obligations and calendars, corporate-action workflows, statutory document generation, and e-filing/XBRL payload generation.

Three limits matter and you accept the Service subject to them:

  • Filings are made on the Customer’s responsibility. Today, the Service generates documents and payloads that you download and file on the relevant government portal yourself. We may introduce features that assist with or automate submission to government portals; any such submission is made on the Customer’s behalf, on the Customer’s instructions and responsibility. Government portals are third-party systems outside our control, and we do not guarantee the acceptance, timeliness or outcome of any filing, however it is submitted. We are not affiliated with, or endorsed by, the Ministry of Corporate Affairs or any government body.
  • onCompliance is not professional advice. Compliance obligations, due dates, penalty calculations, generated documents, templates and AI answers are informational aids produced by software. They are not legal, secretarial, tax or financial advice, and no professional–client relationship is created. A qualified professional must review every document and filing before it is signed, filed or relied upon.
  • AI output can be wrong. See Section 6.

3. Accounts and workspaces

Sign-in is provided through the OnSuite platform. Each workspace corresponds to one company; the Customer controls who is invited and what role (and therefore permissions) each user holds. The Customer is responsible for its users’ actions, for the accuracy of access grants, and for keeping credentials secure. Notify us promptly at support@oncompliance.ai of any suspected unauthorised access.

External parties invited by document-request link may upload files without an account; the token holder is responsible for uploading only lawful, relevant material.

4. Customer Content

  • You own it. All records, documents and files the Customer or its users submit to a workspace ("Customer Content") remain the Customer’s property.
  • Licence to us. The Customer grants us a limited, non-exclusive licence to host, process, transmit and display Customer Content solely to provide and support the Service — including, when a user invokes an AI feature, sharing the relevant content with AI model providers (Section 6), and, where the Customer uses a filing-assistance feature, transmitting the relevant payloads to the applicable government portal on the Customer’s instructions.
  • Your warranties. The Customer warrants that it has the lawful basis and any necessary consents to submit Customer Content — including personal data of directors, shareholders, employees and other individuals — and to have it processed by us and our subprocessors, including AI model providers, as described in the Privacy Policy.
  • Responsibility. We do not verify Customer Content. Statutory correctness of records, registers, documents and filings remains the Customer’s responsibility.

5. Acceptable use

You must not: use the Service for unlawful purposes; upload malicious code; attempt to access other customers’ workspaces or circumvent access controls; resell or provide the Service to third parties except to your own clients within the ordinary course of a professional practice; reverse-engineer the Service except as law permits; or use the Service to build a competing product. We may suspend access that threatens the Service’s security or integrity, giving notice where practicable.

6. AI features

The Service includes optional AI features (a compliance Q&A companion and AI-assisted data extraction). These are off unless the Customer enables them.

  • Content submitted to an AI feature — and, where required, relevant workspace records — is shared with third-party AI model providers for processing, which may occur outside India. We contract with AI model providers on commercial terms that do not permit Customer Content to be used to train their models; nor do we use Customer Content to train models.
  • AI output is generated by statistical models and may be inaccurate, incomplete or outdated. It is not professional advice. The Customer must independently verify AI output against the Companies Act, current rules and its own records before any use or filing.
  • We are not liable for actions taken in reliance on AI output. The Customer’s sole remedy for unsatisfactory AI output is to stop using the AI features.

7. Intellectual property

The Service — its software, design, document templates and content other than Customer Content — is owned by 50K SaaS Ventures or its licensors. You receive only the right to use it under these Terms. If you send us feedback, we may use it without obligation.

8. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that obligations, calculations, documents or AI output will be correct or current with every change in law.

9. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill; and (b) our total aggregate liability under these Terms is limited to the amounts (if any) the Customer paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or ₹10,000, whichever is higher. Nothing limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct. In particular, we are not liable for penalties, late fees, prosecutions or other consequences arising from filings made or missed by the Customer, however those filings were prepared or submitted.

10. Indemnity

The Customer will indemnify us against third-party claims arising from Customer Content, the Customer’s breach of these Terms, or the Customer’s violation of law — including claims by individuals whose personal data the Customer submitted without a lawful basis.

11. Term, suspension and termination

These Terms apply while the Customer uses the Service. Either party may terminate for material breach not cured within 30 days of notice; the Customer may stop using the Service at any time. We may suspend or terminate free workspaces with 30 days’ notice. On termination, the Customer has 30 days to export Customer Content, after which we delete it as described in the Privacy Policy. Sections that by nature survive (4 ownership, 8–10, 12–13) survive termination.

12. Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory law, the courts at Hyderabad, Telangana have exclusive jurisdiction.

13. General

We may update these Terms; material changes will be notified to workspace administrators by email or in-product notice at least 15 days before taking effect, and continued use after that constitutes acceptance. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, the rest remain in effect. The Customer may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or asset sale. These Terms plus any order form and the Privacy Policy are the entire agreement regarding the Service.
