What must a share certificate contain?
The particulars of Form SH-1: the company’s name, CIN and registered office, the certificate and registered folio numbers, the holder’s name, the number and class of shares with face value and amount paid up, and the distinctive numbers of the shares. Every design here carries the full set.
Who signs a share certificate?
Two directors and the company secretary or an authorised person. A one person company, or a company with only one director, signs with a single signature. Pick the combination that matches the company and every design renders the right number of signature lines. The common seal has been optional since 2015, so the certificate carries no seal wording.
When must share certificates be issued?
Within two months of incorporation for subscribers, within two months of an allotment, and within one month of a transfer being registered, under section 56(4).
